These Terms and Conditions govern your use of services provided by Barlett Venture Dev, located at 30 N Gould St, Ste R, Sheridan, WY 82801. By completing registration and submitting payment, you acknowledge agreement to these Terms.
1. Service Packages
Two comprehensive service packages are offered for U.S. LLC formation and business administration.
1.1 Essential Setup Package
One-Time Setup Fee: $199
Monthly Administration Fee: $79
Services Included:
- End-to-end U.S. LLC formation
- Articles of Organization preparation and filing with Wyoming Secretary of State
- Operating Agreement preparation
- Official Registered Agent service
- Commercial office business address
- Free mail scanning and storing
- EIN registration with the IRS
- U.S. business bank account opening assistance
- Annual report filing with Wyoming Secretary of State
- Business compliance monitoring and reminders
- IRS tax report filings (Form 5472/1120 or 1065)
- Basic accounting and bookkeeping services
- Ongoing business administration support
1.2 Complete Setup Package
One-Time Setup Fee: $249
Monthly Administration Fee: $99
Includes all Essential Setup services, plus:
- Stripe payment processing account setup and assistance
- Domain name registration assistance
- Creation and hosting of basic business website (3-page professional site)
- Professional business email address (@yourdomain.com)
1.3 Optional Add-On Service
Dedicated U.S. Phone Number: +$20 per month
Available for both packages. Provides a dedicated U.S. phone number for business verification, client communication, and platform requirements. The number is fully remote-accessible worldwide.
1.4 What's Included in All Packages
The one-time setup fee covers:
- Professional service fees
- Wyoming state filing fees
- Registered agent fees (first year)
- Articles of Organization filing
- Operating Agreement preparation
- All standard formation-related costs
No additional fees apply for standard services included in your package.
2. Fees and Payment Terms
2.1 Payment Method
All payments are processed via credit card. By registering, you authorize charging your card for the one-time setup fee (immediately upon completion) and monthly administration fees (automatically after LLC formation completion).
2.2 Payment Schedule
- Setup Fee: Charged immediately upon form submission and payment
- First Monthly Payment: Charged after LLC formation completion and receipt of formation documents
- Subsequent Monthly Payments: Charged automatically on the same day each month
2.3 Late Payments
Monthly fees are due in advance. If payment fails or isn't received within 10 days of the due date, a $25 late fee applies. Services may be suspended for accounts with balances exceeding 15 days past due.
2.4 Third-Party Costs Not Included
You are responsible for:
- Bank account fees charged by financial institutions
- Domain registration fees (if applicable)
- Non-standard or expedited filing fees you request
- Business licenses or permits for your specific industry
- Costs for services beyond your selected package scope
3. Term and Termination
3.1 Initial Term
These Terms become effective upon registration and payment completion. Monthly business administration services continue for an initial one-year term from LLC formation completion, then automatically renew month-to-month unless terminated.
3.2 Early Termination Fee
- You must pay an early termination fee of $1,000 plus outstanding monthly fees
- This fee compensates for administrative costs, setup investments, and lost revenue from the unfulfilled minimum commitment period
- The fee is due immediately upon termination notice
- Business records are released only upon payment of this fee and all outstanding balances
3.3 Termination After Initial Term
After the one-year term, you may terminate by providing 30 days written notice to support@incorpify.us.
Upon termination:
- You remain responsible for payment through the notice period
- All business records and documents transfer to you
- No refund is provided for the current billing period
- No early termination fee applies
3.4 Termination by Company
The Company may terminate with 30 days written notice or immediately for cause, including:
- Non-payment after a 15-day cure period
- Your illegal activities or misrepresentation
- Your breach of these Terms
3.5 Effect of Termination
Upon termination, the Company provides all business records and documentation, ceases providing services on the termination date, and you remain responsible for outstanding fees.
4. Your Responsibilities
4.1 Information Provision
- Provide accurate and complete information during registration and LLC formation
- Provide all necessary documents and identification promptly when requested
- Respond to information requests within reasonable timeframes
- Notify immediately of any changes to contact information or business details
4.2 Legal Compliance
You are responsible for:
- All business operations and decisions
- Compliance with federal, state, and local laws
- Maintaining required business licenses and permits
- Tax filings and payments (Company provides bookkeeping support and tax report filing assistance only)
- Accuracy of financial information provided
4.3 Banking and Financial Matters
You understand that final approval for bank account opening rests with the financial institution. The Company provides assistance but cannot guarantee account approval, and you are responsible for maintaining proper banking relationships.
5. Our Responsibilities and Limitations
5.1 Standard of Care
The Company agrees to perform all services with reasonable care and professional skill.
5.2 Services We Do Not Provide
- Legal advice (consult an attorney for legal matters)
- Tax advice (consult a CPA or tax professional)
- Investment advice
- Guarantees regarding business success or profitability
5.3 Service Timeline
- LLC formation typically takes 2-4 weeks depending on state processing times
- EIN registration typically completes within 1-2 weeks
- Bank account opening timeline varies by institution (usually around 2 weeks)
- Stripe account setup typically takes 2-5 days (Complete Setup package only)
The Company uses reasonable efforts to complete services promptly but is not liable for delays caused by third parties, including government agencies or financial institutions.
6. Confidentiality and Data Protection
6.1 Confidential Information
Confidential information includes:
- Business plans and strategies
- Financial information
- Personal identification information
- Trade secrets
6.2 Exceptions
Confidential information does not include information that:
- Is publicly available
- Was known to the Company prior to disclosure
- Is required to be disclosed by law or regulation
6.3 Data Security
The Company implements reasonable security measures to protect your information and comply with applicable data protection laws. However, no electronic transmission or storage method is 100% secure, and absolute security cannot be guaranteed.
7. Intellectual Property
7.1 Your Ownership Rights
You own:
- Your business name and trademarks
- Your business content and materials
- Website content created for your business (excluding template elements)
7.2 Company Ownership Rights
The Company retains ownership of:
- Templates and forms used in service delivery
- Proprietary processes and methodologies
- Website templates and frameworks
8. Representations and Warranties
8.1 Your Representations
- All information you provide is accurate and complete
- You have legal authority to form and operate the LLC
- The LLC will not be used for illegal purposes
- You are not subject to legal restrictions preventing business formation
8.2 Company Representations
- The Company has authority and capability to provide services
- Services will be performed in a professional manner
- The Company will comply with applicable laws and regulations
8.3 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Services are provided "as is" and "as available."
9. Limitation of Liability
9.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.2 Excluded Damages
The Company is not liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits or business opportunities
- Delays caused by government agencies or third parties
- Errors in information you provided
9.3 Your Acknowledgment
You acknowledge that the Company is not responsible for business success or profitability, business formation does not guarantee regulatory approvals, and tax and legal compliance remains your responsibility.
10. Indemnification
10.1 Your Indemnification
You indemnify the Company from claims arising from:
- Your business operations
- Inaccurate information you provided
- Your violation of laws or regulations
- Your breach of these Terms
10.2 Company Indemnification
The Company agrees to indemnify you from claims arising from the Company's gross negligence or willful misconduct in performing services.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
11.2 Mediation
Any disputes shall first be submitted to mediation in Sheridan County, Wyoming. Each party shall share mediation costs equally.
11.3 Arbitration
If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with American Arbitration Association rules.
11.4 Attorney's Fees
The prevailing party in any legal proceeding is entitled to recover reasonable attorney's fees and costs.
12. General Provisions
12.1 Entire Agreement
These Terms constitute the entire agreement between you and the Company and supersede all prior negotiations, representations, or agreements.
12.2 Amendments
The Company may update these Terms from time to time. Material changes are communicated via email. Continued service use after notification constitutes acceptance of updated Terms.
12.3 Assignment
You may not assign these Terms without written consent. The Company may assign to an affiliate or successor entity.
12.4 Severability
If any provision is found invalid or unenforceable, remaining provisions continue in full force and effect.
12.5 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
12.6 Notices
All notices shall be sent to provided contact information or updated information. Notices may be delivered by email with receipt confirmation, certified mail with return receipt requested, or overnight courier service.

12.7 Independent Contractor
The Company is an independent contractor and nothing in these Terms creates an employment, partnership, or joint venture relationship.
12.8 Force Majeure
Neither party is liable for delays or failures in performance resulting from causes beyond reasonable control, including acts of God, government actions, natural disasters, or pandemics.
13. Acceptance of Terms
By completing the registration form, submitting information, and processing payment, you acknowledge:
- You have read and understood these Terms and Conditions entirely
- You agree to be legally bound by these Terms
- All information you provided is accurate and complete
- You authorize charging your credit card for applicable fees
- You understand and accept the one-year Initial Term commitment and early termination fee
